These Terms of Service (this "Agreement") are agreement between you and SWIFTFIAT LTD, including but not limited to legal persons, unincorporated organizations.

This Terms of Service governs your access to and use of the services provided by SWIFTFIAT LTD ("SWIFTFIAT", "we", "us", or "our").

You unconditionally accept and agree to be bound by the terms and conditions set out in this Terms of Service including the Privacy Policy as well as any applicable laws and guidelines when you access the SWIFTFIAT Platform or use any of the SWIFTFIAT Services.

If you do not agree, do not use our platform or services.

Definitions

In these Terms, unless the context otherwise requires:

Account means a registered user account on SWIFTFIAT.
Applicable Laws means all laws, regulations, directives, and guidelines applicable in Nigeria and other relevant jurisdictions.
Crypto Assets means digital or virtual currencies supported by SWIFTFIAT.
Services means all products and services offered by SWIFTFIAT, including but not limited to crypto exchange services, bill payments, virtual cards, savings, internal transfers, and referral programs.
User means any individual or business entity that accesses or uses the Services.

Eligibility

To be eligible to access or use the SWIFTFIAT platform and services, you must meet the following conditions:

you must create and maintain a user account on the SWIFTFIAT platform;
if you are an individual, you must be at least 18 years old or be of legal age to enter into a binding contract under applicable laws;
whether you are acting as an individual or on behalf of a business or organization, you must have the legal authority and capacity to agree to and comply with these Terms of Use;
if you are acting for a company or organization, you confirm that you are properly authorized to accept these Terms on its behalf and to bind it to these Terms;
you must not have been previously suspended, restricted, or banned from using the SWIFTFIAT platform or services; and
your use of the SWIFTFIAT services must comply with all applicable laws and regulations, including laws relating to anti-money laundering, anti-corruption, and counter-terrorist financing.

Use of Information

You acknowledge and agree that, to access or use the SWIFTFIAT platform and services, you are required to provide accurate, complete, and up-to-date personal information at all times.

Personal Information may include, but is not limited to, identity details, identification documents, transaction records, financial information, and technical or device-related data. SWIFTFIAT shall take reasonable and appropriate measures to ensure that all Personal Information is securely stored, protected against unauthorized access, and treated as confidential, except where disclosure is permitted or required by law.

We may collect, use, process, store, and transfer your Personal Information for the following purposes:

to provide, operate, and improve SWIFTFIAT services;
to comply with applicable laws, regulations, and regulatory obligations;
to secure your SWIFTFIAT account and maintain platform, data, and information security;
to verify your identity, bank account details, and other information provided by you;
to protect the vital interests of SWIFTFIAT, its users, and third parties;
to communicate with you regarding your account, transactions, or service updates;
to provide customer support and resolve issues or disputes;
to facilitate corporate restructurings, mergers, acquisitions, or other business reorganizations; and
to conduct marketing, promotional, and informational communications, subject to applicable data protection laws.

Security and Unauthorized Use

SWIFTFIAT maintains robust data security measures to prevent fraud and unauthorized account access. Users must keep all platform credentials confidential and never share them.

You are solely responsible for securing your login details, passwords, PINs, and other credentials.

SWIFTFIAT is not liable for any loss, damage, or costs resulting from the use of your credentials, whether authorized or not.

We will never ask for your login details or PINs via email, SMS, phone, or any other means. If you receive such a request, ignore it and contact us at support@swiftfiat.com.

Notify us immediately if you suspect unauthorized account activity or believe your credentials have been compromised.

Prohibited Activities

While using the SWIFTFIAT platform or services, and during any interaction with SWIFTFIAT, its third-party partners, or other users, you must not:

violate these Terms of Use, any applicable policy, or any agreement you have entered into with SWIFTFIAT;
violate any applicable laws or regulations;
engage in, attempt, or assist in fraudulent or deceptive activities, including any act intended to defraud SWIFTFIAT or another user;
infringe on the intellectual property rights of SWIFTFIAT or any third party, including copyrights, trademarks, patents, trade secrets, or privacy rights;
sell, promote, or facilitate counterfeit goods or any product or service that is illegal, prohibited, or contrary to public order or good morals;
act in a manner that is abusive, defamatory, threatening, harassing, or harmful toward SWIFTFIAT, its employees, agents, partners, or other users;
provide false, inaccurate, incomplete, or misleading personal or account information;
engage in suspicious, high-risk, or potentially fraudulent activities or transactions;
attempt to obtain a chargeback, refund, or reversal from both SWIFTFIAT and a merchant, bank, or card issuer for the same transaction during a dispute;
take any action that places an excessive or unreasonable burden on SWIFTFIAT's systems, network, or infrastructure; or
introduce, transmit, or facilitate the spread of viruses, malware, trojans, worms, or any harmful code that could damage, disrupt, interfere with, or compromise any system, data, or personal information.

Termination and Restriction of Access

You acknowledge and agree that SWIFTFIAT reserves the right to restrict access to your SWIFTFIAT account and/or terminate this Agreement where there is a reasonable suspicion that you have breached any provision of these Terms of Use.

SWIFTFIAT, acting at its sole discretion, may terminate this Agreement and/or restrict or suspend access to the SWIFTFIAT platform or services at any time and for any reason, subject to applicable law. Where access is restricted or an account is terminated, SWIFTFIAT will, where appropriate, notify you of such action and pay out any unrestricted funds remaining in your wallet. If access to your account is limited, including through the placement of a hold or restriction, you may request a review of the decision. Any restoration of access shall be at SWIFTFIAT's sole discretion.

You further acknowledge that SWIFTFIAT's decisions to restrict or terminate access may be based on confidential risk, security, or compliance criteria designed to protect the platform, other users, and SWIFTFIAT's operations. You agree that SWIFTFIAT is not required to disclose the details of its internal risk management processes or security procedures to you.

Disclaimer of Warranties

The SWIFTFIAT services and platform are provided on an "as is" and "as available" basis, without any guarantees or warranties of any kind, whether express, implied, or required by law. To the fullest extent permitted by applicable law, SWIFTFIAT, its parent company, affiliates, officers, directors, employees, agents, partners, and service providers expressly disclaim all implied warranties, including warranties of title, merchantability, fitness for a particular purpose, and non-infringement.

SWIFTFIAT does not guarantee that access to its services will be continuous, uninterrupted, timely, or secure. The platform may be unavailable from time to time due to maintenance, upgrades, system failures, or other factors beyond our control. While we make reasonable efforts to process transactions and service requests promptly, SWIFTFIAT does not guarantee processing times, as delays may occur due to banking systems, blockchain networks, third-party service providers, or other external factors.

SWIFTFIAT does not control and is not responsible for the products or services provided by third parties that are paid for or accessed through the SWIFTFIAT platform. Accordingly, SWIFTFIAT does not guarantee that any third party will complete a transaction or that such third party is authorized to do so.

Limitation of Liability

To the maximum extent permitted by applicable law, SWIFTFIAT and its affiliates, directors, officers, employees, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, use, goodwill, or other intangible losses, whether incurred directly or indirectly, arising from:

your access to, use of, or inability to access or use the SWIFTFIAT services or platform;
any actions, content, or conduct of third parties, including other users or service providers;
any content or services obtained through the SWIFTFIAT platform; or
any unauthorized access to, use of, or alteration of your data or communications.

To the fullest extent permitted by law, the total liability of SWIFTFIAT and its affiliates, officers, directors, employees, agents, or service providers for any claim or damage, whether based on contract, negligence (including gross negligence where permitted by law), breach of statutory duty, or otherwise, arising from or relating to your use of the SWIFTFIAT platform or services, shall not exceed the total fees earned by SWIFTFIAT from your use of the platform in the six (6) months immediately preceding the event giving rise to the claim.

Changes

SWIFTFIAT reserves the right to update or amend these Terms of Use at any time, with or without prior notice. Users are responsible for regularly reviewing these Terms. Continued access to or use of the SWIFTFIAT platform or its services following any modifications signifies full acceptance of, and agreement to be bound by, the revised Terms of Use.

Nevertheless, SWIFTFIAT will make reasonable efforts to notify users of material changes to these Terms. Such notifications may include postings on our website, in-app or push notifications, or emails sent to the address associated with your SWIFTFIAT account.

Governing Law

This Agreement, together with the rights and obligations of the Parties arising hereunder, shall be governed by, and construed and interpreted in accordance with, the laws of Nigeria.
